Terms of Service

These Terms of Service govern your use of TorseDet's mobile game development services, products, and website.

Effective Date: January 15, 2024

1. Acceptance of Terms

By accessing and using any services provided by TorseDet - Mobile Game Development Ltd (the "Company", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, game development services, and related products (collectively, the "Services"). We reserve the right to update and change the Terms by posting updates and changes to our website.

2. Definitions

All game development, design, consulting, and technical services offered by TorseDet.

"User"

Any individual or entity that accesses or uses our Services.

All copyrights, trademarks, patents, trade secrets, and other proprietary rights.

All deliverables, designs, code, documentation, and other materials created during service provision.

Financial obligations and billing procedures as outlined in individual service agreements.

3. Service Description

Mobile Game Development

TorseDet specializes in end-to-end mobile game development services, including concept design, prototyping, full-scale development, testing, deployment, and post-launch support. Our expertise spans multiple platforms including iOS, Android, and cross-platform solutions.

  • Game concept development and feasibility analysis
  • Game design and technical architecture planning
  • Full-cycle game development and programming
  • Quality assurance testing and optimization
  • App store submission and publishing support
  • Marketing and monetization strategy consultation

Additional Services

  • UI/UX design and user experience optimization
  • Backend infrastructure and server management
  • Integration with third-party services and APIs

  • Ongoing maintenance and feature updates

4. User Obligations and Responsibilities

General User Conduct

Users of our Services agree to use the Services only for lawful purposes and in accordance with these Terms. Users are prohibited from using our Services:

  • In any way that violates applicable laws or regulations
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the Company, employees, or other users
  • To engage in any other conduct that restricts or inhibits use by others

Project Collaboration Requirements

For active projects, users are required to provide timely feedback, necessary resources, and maintain open communication channels. Delays caused by user unresponsiveness may impact project timelines and additional costs may apply as specified in individual service agreements.

5. Intellectual Property Rights

Company Intellectual Property

All pre-existing intellectual property, methodologies, frameworks, tools, and general knowledge used in providing our Services remain the exclusive property of TorseDet. This includes proprietary development frameworks, code libraries, design systems, and industry expertise developed independently by our team.

Work Product Ownership

Upon full payment of applicable fees, the custom game development work product created specifically for the user becomes the property of the user, subject to our retention of rights to:

  • Pre-existing tools, libraries, and frameworks used in development
  • General knowledge and experience gained during the project
  • The right to use non-confidential project details for portfolio and marketing purposes

Third-Party Intellectual Property

Users are responsible for obtaining all necessary licenses and permissions for third-party assets, including music, graphics, fonts, and software libraries incorporated into their projects. We will assist in identifying third-party dependencies but cannot guarantee the availability or licensing of external assets.

6. Payment Terms and Billing

Fee Structure

Our services are provided on a project-based, hourly, or retainer basis as specified in individual service agreements. All fees are quoted in GBP (British Pounds) and do not include applicable taxes unless explicitly stated.

Payment Schedule

Project-Based Work:
  • 50% deposit upon project initiation
  • 25% upon milestone completion
  • 25% upon final delivery
Hourly Services:
  • Monthly invoicing
  • Payment due within 30 days
  • Minimum 2-hour sessions

Late Payment Policy

Payments not received within 30 days of invoice date may result in service suspension. A late fee of 2% per month may be applied to overdue amounts. Users are responsible for any collection costs incurred in recovering overdue payments.

7. Confidentiality and Data Protection

Confidentiality Obligations

Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of business. This includes but is not limited to:

  • Proprietary game concepts and business strategies
  • Technical specifications and development methodologies
  • Financial information and pricing structures
  • Customer and user data

Data Protection Compliance

We comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Our data handling practices include:

  • Secure storage and transmission of personal data
  • Limited data retention periods
  • User rights to access, rectify, and delete personal data
  • Regular security audits and updates

8. Warranty and Disclaimer

Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 90 days following project delivery, we will remedy any defects attributable to our workmanship at no additional charge.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We are not responsible for any delays, failures, or losses resulting from circumstances beyond our reasonable control.

9. Limitation of Liability

Liability Cap

IN NO EVENT SHALL TORSEDET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Maximum Liability

Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us for the Services giving rise to the claim during the twelve (12) months preceding the claim.

Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Termination

Termination by User

Users may terminate Services at any time by providing written notice. Termination will be effective 30 days after receipt of notice. Users are responsible for payment of all Services rendered up to the termination date, including any non-cancellable commitments.

Termination by Company

We may terminate or suspend Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for non-payment of fees.

Effect of Termination

Upon termination, all rights and licenses granted herein will cease immediately. Users must immediately discontinue all use of our Services. Confidentiality obligations and provisions relating to intellectual property, limitation of liability, and dispute resolution will survive termination.

11. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution Process

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiation. If direct negotiation fails, disputes will be resolved through:

  1. Mediation administered by a mutually agreed upon mediator
  2. If mediation fails, binding arbitration under the rules of the London Court of International Arbitration (LCIA)

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other causes beyond the reasonable control of such party.

The affected party will promptly notify the other party and use reasonable efforts to resume performance. If performance is delayed for more than 60 days, either party may terminate the affected Services without penalty.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes acceptance of the new Terms.

For significant changes that materially affect user rights or obligations, we will provide additional notice via email or prominent notice on our website at least 30 days before the changes take effect.
